1. Operator and acceptance

These Terminal Terms (the "Terms") govern your access to and use of Terminal, by Otomato (the "Terminal"), a memecoin trading terminal on Robinhood Chain. The Terminal is operated by Otomato Inc, a company incorporated in the British Virgin Islands ("Otomato Inc", "we", "us"). Otomato Inc may use third-party service providers to operate the Terminal.

By accessing or using the Terminal, you agree to these Terms. If you do not agree, do not use the Terminal.

These Terms are between you and Otomato Inc only. Otomato Inc's affiliates, shareholders, directors and service providers are not parties to these Terms and have no obligation to you under them.

These Terms cover the Terminal only. The Otomato DeFi Assistant (the mobile app, the Telegram bot and the alerts and tools at otomato.xyz) is governed by the separate Terms and Conditions. Our Privacy Policy explains how we handle personal data.

2. Eligibility

You may use the Terminal only if you are at least eighteen (18) years old and have full legal capacity to enter into these Terms. By using the Terminal you confirm that you meet these conditions.

3. Restricted jurisdictions

The Terminal is not available to, and may not be used by:

persons located in, resident in, or incorporated in the United States, or any US person;
persons located in, resident in, or incorporated in Cuba, Iran, North Korea, Syria, Russia, or any other country subject to comprehensive sanctions or trade restrictions imposed by the United States, United Kingdom or the European Union;
persons on any sanctions list maintained by the United States, United Kingdom, European Union or United Nations, or owned or controlled by such persons; or
persons for whom using the Terminal is prohibited by the laws of their country of residence.

We may block or restrict access based on location or any other signal. You must not use a Virtual Private Network (VPN) or any other technical means to bypass these restrictions.

We may screen wallet addresses against sanctions lists and blockchain analytics, and refuse or restrict service to any wallet linked to sanctioned persons or illicit funds. We may also ask you for information to verify your identity, location or source of funds, and restrict your access until you provide it.

4. The Terminal is software

The Terminal is software that provides information and an interface for interacting with on-chain tokens and smart contracts. Otomato Inc is not a broker, exchange, dealer, custodian, investment adviser or fiduciary. Otomato Inc is not licensed or registered as a broker, exchange or virtual asset service provider in any jurisdiction, and the Terminal is not supervised by any financial regulator.

Nothing in the Terminal is financial, investment, legal or tax advice, or a recommendation to buy, sell or hold any token. You make your own decisions and are solely responsible for them.

5. Embedded wallet

To trade, the Terminal creates an embedded wallet for you through Privy, a third-party wallet infrastructure provider. Privy's own terms apply to the wallet.

Otomato Inc never holds your private keys and does not take custody of your funds. One-click trading signs the trades and withdrawals you request from your wallet, in your own session, without a separate wallet prompt. Otomato Inc's servers do not sign transactions from your wallet.

We cannot recover your private keys. You are responsible for securing access to your account and wallet, including your login method and any keys you export. If you lose access, we may be unable to help you regain it.

6. Trades

Trades are executed on-chain on Robinhood Chain through third-party smart contracts and liquidity venues. You confirm each trade before it is submitted. Once submitted, a trade cannot be cancelled or reversed.

We do not guarantee the price, slippage, execution, timing or inclusion of any trade, or any protection against front-running or MEV. Quotes and estimates shown in the Terminal may differ from the final on-chain result.

7. Fees

A fee applies to trades made through the Terminal. The fee is shown before you confirm each trade. We may change our fees at any time; the fee shown when you confirm a trade is the one that applies to it. Network fees and fees charged by third parties are separate and are your responsibility.

8. Memecoin and token risk

Memecoins and other tokens are extremely volatile and highly speculative. You can lose all the money you put in. Risks include rug pulls, honeypots, removal of liquidity, malicious or flawed token contracts, impersonation and scams.

Tokens shown in the Terminal are created by third parties. Showing or listing a token is not an endorsement, and we do not review or vet tokens. Only trade what you can afford to lose.

9. Scores, signals and analysis

The Terminal shows scores, labels (such as smart money, dev holds or snipers) and AI-generated analysis. These are produced automatically from on-chain and third-party data. They are for information only, may be wrong, incomplete or late, and are not recommendations.

10. Third parties

The Terminal relies on third parties, including Robinhood Chain, the wallet infrastructure provider, decentralised exchanges and liquidity venues, and data providers. We do not control them and are not responsible for their services, availability, security, errors or losses they cause. Your use of them may be subject to their own terms.

11. Prohibited use

You must not use the Terminal to:

manipulate markets, including wash trading, spoofing, pump-and-dump schemes or coordinated price manipulation;
exploit bugs, errors or vulnerabilities in the Terminal or any smart contract;
scrape, overload, reverse engineer or otherwise abuse the Terminal or its infrastructure;
evade sanctions or the restrictions in section 3;
trade with funds derived from illegal activity, or launder money or finance terrorism; or
break any applicable law or infringe the rights of others.

12. Suspension and termination

We may suspend, restrict or end your access to all or part of the Terminal at any time, with or without notice, including if we suspect a breach of these Terms, a security risk or a legal requirement. You may stop using the Terminal at any time. Suspension does not transfer or take your on-chain assets, and we will not prevent you from withdrawing them unless the law requires us to.

13. Taxes

You are solely responsible for determining, reporting and paying any taxes that apply to your trades and other activity. We do not provide tax advice or tax reporting.

14. Intellectual property

The Terminal, including its software, design, text, scores and branding, belongs to Otomato Inc or its licensors. We grant you a limited, personal, non-exclusive, non-transferable and revocable right to use the Terminal in line with these Terms. If you send us feedback, we may use it freely without any obligation to you.

15. Disclaimers

The Terminal is provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, availability and non-infringement. We do not guarantee that the Terminal will be uninterrupted, secure or error-free.

16. Limitation of liability

To the extent permitted by applicable law, Otomato Inc is not liable for any loss arising from token prices or market movements, trades you confirm, failed or delayed transactions, smart contracts, third-party services, the wallet infrastructure provider, cyberattacks, or your failure to secure your account or wallet.

To the extent permitted by applicable law, Otomato Inc's total liability to you for any claim arising out of or relating to these Terms or the Terminal is limited to the greater of: (a) the total fees you have paid to Otomato Inc for the Terminal in the 12 months before your claim arose, or (b) USD 100.

Otomato Inc is not liable for any indirect or consequential losses, including lost profits, lost revenue, lost data, or missed trading opportunities, whether or not we were advised such losses might occur.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable consumer protection law or any other mandatory provision of law.

17. Indemnity

You agree to reimburse Otomato Inc for any losses, costs or claims it suffers as a result of your use of the Terminal, your breach of these Terms, your breach of any law, or your infringement of any third party's rights. This obligation survives the end of these Terms.

18. Changes to these Terms

We may change these Terms at any time by publishing a new version on this page and updating the date above. Continued use of the Terminal after a change means you accept the new Terms.

19. Governing law and arbitration

These Terms, and any relationship between you and Otomato Inc arising from the Terminal, are governed by the laws of the British Virgin Islands.

Before starting any arbitration, you and Otomato Inc agree to try to resolve the dispute through conciliation within thirty (30) days, starting from an email to [email protected].

If conciliation fails, any dispute between you and Otomato Inc arising out of or in connection with these Terms or the Terminal, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the BVI International Arbitration Centre in accordance with its arbitration rules in force at the time. The seat of arbitration shall be Road Town, Tortola, British Virgin Islands. The tribunal shall consist of one (1) arbitrator. The language of arbitration shall be English.

Unless applicable law requires a longer period, any claim arising out of these Terms or the Terminal must be started within one (1) year after the cause of action arose, or it is permanently barred.

CLASS ACTION WAIVER

YOU AND OTOMATO INC AGREE TO WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING ARISING FROM THESE TERMS OR THE USE OF THE TERMINAL.

Nothing in these Terms removes any mandatory consumer protection that the law of your country of residence grants and that cannot be waived by contract.
